And right now, we are looking for a Senior Company Secretarial Assistant to join our small and close-knit Company Secretarial Team. As a Senior Company Secretarial Assistant, you will support the Company Secretarial Team professionally and administratively, dealing with all levels across a diversified Group.

In this newly created exciting and varied role, you will predominantly be supporting the Insurance division of the Group whilst still being responsible for, or assisting members of the team, on other Group related matters and projects.

Role Responsibility

Insurance:

  • Work closely with the Assistant Company Secretary on the preparation of agendas, production of governance reports, collation and circulation of papers and drafting of minutes for the Insurance Boards and Committees.
  • Ensure that the Insurance annual corporate calendars are aligned with strategy and maintained to a high standard.
  • Work with business areas to ensure supporting papers and outstanding actions are submitted and collated in a timely manner, ensuring effective use of executive summaries.
  • Review, and draft when required, Insurance governance documents including Terms of Reference.
  • Provide advice on current best corporate governance practice and provide Company Secretarial support to all insurance entities.
  • Liaise with the Conduct Risk Team on regulatory matters (i.e. FCA, GFSC) and ensure that our corporate governance processes and procedures adhere with regulatory rules and expectations.
  • Provide overall support to the Insurance Assistant Company Secretary on implementing and maintaining exceptional corporate governance practices and procedures across Insurance and deputise as and when required.
  • Respond to requests from internal and external auditors.

Group

  • Assist with preparation of director inductions and ongoing development/evaluation.
  • Support the Company Secretary and team during the AGM preparation and the production of the Annual Report and Accounts.  
  • Be responsible for the simplification of the Group Structure and lead on liquidations and dissolutions of Group entities as and when required.
  • Assist with project work, as required e.g. group strategic projects, due diligence requests, Group Policies, ad hoc requests.

The Ideal Candidate

  • Good knowledge of UK Companies Act 2006, FCA Disclosure and Transparency Rules and other relevant legislation
  • Excellent working knowledge in the use of the latest company secretarial software, including board portal and entity management software
  • Good knowledge of current company secretarial/corporate governance practice, at both detailed and summary level
  • Able to build and maintain strong relationships with directors, senior executive and control functions
  • High-level organisational skills
  • The highest standards of professionalism and integrity
  • Excellent interpersonal and communication skills
  • High quality written and verbal communication skills
  • CGI qualified or part qualified 
  • Minuting experience preferable
  • Plc and/or regulated experience preferable
